(1) APPLICATION FOR EXTENSION OF TIME TO COMPLY WITH RULE 705(1) OF THE
CATALIST RULES IN RESPECT TO THE ANNOUNCEMENT OF THE UNAUDITED FULL
YEAR FINANCIAL STATEMENTS FOR THE FINANCIAL YEAR ENDED 31 DECEMBER
2010 (“FY2010”) (“FY2010 ANNOUNCEMENT”)
(2) APPLICATION FOR FURTHER EXTENSION OF TIME TO HOLD THE COMPANY’S
ANNUAL GENERAL MEETING (“AGM”) FOR FY2010
The Board of Directors (the “Board”) of Fujian Zhenyun Plastics Industry Co., Ltd (the “Company”)
refers to the announcement on the “Annual Confirmation on Extension of Time to Hold Annual
General Meeting” made by the Company on 31 January 2011 (Announcement No. 00130) (the
“Announcement”).
Unless otherwise defined, all terms used herein bear the same meaning as in the Announcement.
Under Rule 705(1) of the Listing Manual of the Singapore Exchange Securities Trading Limited
(“SGX-ST”), Section B: Rules of Catalist (the “Listing Manual”), the Company is required to release
the Company’s FY2010 Announcement no later than 60 days after the relevant financial period, being
28 February 2011. Under Rule 707(1) of the Listing Manual, the Company is also required to hold its
AGM for FY2010 within four (4) months of its financial year end, being 30 April 2011. As stated in the
Announcement, the Company has obtained the Extension to hold its AGM on a date no later than 15
May each year.
The Company’s Special Audit Report was only finalized on 7 January 2011. Pursuant to the
completion of the Special Audit by Messrs Deloitte & Touche LLP, the Company is currently looking
for new auditors to commence audit work for FY2010. Accordingly, the Company has applied to the
SGX-ST on 23 February 2011, through its sponsor, Shooklin Advisory Services Pte Ltd (the
“Sponsor”), to seek for:
(i) an extension of time to announce the FY2010 Announcement from the current deadline of 28
February 2011 to 30 April 2011; and
(ii) a further extension of time to hold its AGM from the current deadline of 15 May 2011 to 30 June
2011.
The Board wishes to announce that it has been informed by the Sponsor that the SGX-ST has agreed
to (i) extend the deadline for the release of the Company’s FY2010 Announcement to 30 April 2011,
and (ii) extend the deadline for holding the Company’s AGM for FY2010 to 30 June 2011, subject to
the following conditions:
(i) the Company making an immediate announcement of the extension granted, disclosing the
reasons for seeking the extension, and that the Company and/or any of its Board of Directors
are not aware of any other material information (including but not limited to financial
information) with respect to the Company which was not formally disclosed to the investors; and
(ii) The Company’s directors providing a confirmation that the Company will be able to convene the
EGM to approve the appointment of auditors by 21 April 2011 and is able to comply with the
respective extended deadlines for announcement of its unaudited FY2010 financial results and
the convening of the AGM.
With respect to condition (i) above, the Company and its Board of Directors as of the date of this
announcement are not aware of any other material information (including but not limited to financial
information) with respect to the Company that was not formally disclosed to the investors.
In relation to condition (ii), the Company’s directors confirm that the Company will be able to convene
the EGM to approve the appointment of auditors by 21 April 2011 and comply with the respective
extended deadlines for the announcement of its unaudited FY2010 financial results and the
