the issued and paid-up share capital of the Company be reduced by an amount of
S$14,890,640.76, and that such reduction be effected by cancelling 9,079,659 issued
and fully paid-up ordinary shares in HLA held by SCIC (“HLA Selective Capital
Reduction”) which would otherwise be distributed to the Company by SCIC pursuant
to the SCIC Capital Distribution
